What we do, in detail

Holding participations, accounts on time, why inactivity exempts nothing, and what we are not.

Program 01 · On our own account

Holding participations

The entirety of the registered activity. Interests held on our own account, with our own money, for our own purposes. No pooled funds, no assets held for other people, no positions taken on anyone else's behalf. The description is narrow because it is accurate, and because the word holding attracts proposals that assume something a great deal broader than what this company actually is.

  • Own account only
  • No third-party money
  • Long-term interests
  • Records kept

Accounts drawn up properly.

General meeting, within six months.

Step 4 · File

Within seven, without exception.

Program 02 · Six, then seven

Accounts, on time

Accounts go to the general meeting within six months of the year end and to the National Bank within thirty days of approval, and in any event within seven months of year end. Late filing brings surcharges that grow with the delay. The part that is rarely mentioned is evidential: damage suffered by third parties is presumed to result from a failure to file, so a dispute starts with the burden pointing the wrong way.

  • Every year
  • Six then seven months
  • Surcharges avoided
  • Presumption understood

Program 03 · The common mistake

No activity, same duties

There is no such legal category as a dormant company. A company with no trading activity still prepares, approves and files accounts on the same timetable, still keeps its beneficial ownership entry current and confirms it annually, and still owes the yearly company contribution. Three consecutive financial years without filing can end in judicial dissolution on the application of any interested party or the public prosecutor. Quiet is not the same as finished.

  • No exemption exists
  • Same deadlines
  • Confirmed annually
  • Dissolution is real

Step 1 · The belief

That nothing happening means nothing due.

Step 2 · The reality

Every obligation continues.

Step 3 · The drift

Years accumulate quietly.

Step 4 · The court

Three years, and it is reachable.

Step 1 · Not a firm

No investment services at all.

Step 2 · Not a nominee

We front for nobody.

Step 3 · Not a provider

No formations, no domiciliation.

Step 4 · Not advisers

Those questions go elsewhere.

Program 04 · Said first

What we are not

We manage nobody's money, provide no investment services, solicit no funds from the public and hold no authorisation to do any of it. We do not act as nominee shareholder or nominee director for anyone, we do not form companies or provide domiciliation or corporate secretarial services to third parties, and we provide no arrangement intended to obscure who ultimately owns something. We also give no legal, tax or accounting advice.

  • No authorisation held
  • No nominee role
  • No formations
  • No advice given
